If the stuff is out of sync then the whole process is broken - e.g. the audio is much longer than the video. This already happens at the mencoder stage, not when putting both into Matroska. Using three-pass encoding with mencoder is known to be buggy, especially if you're dealing with telecined content. Please search the mplayer-users mailing lists for better ways to do this.
